Please read these terms before using the site or sending us a request for quotation. They are short, and they matter.

01About these terms

These terms of use (“terms”) govern your use of www.nebulus.world (the “site”), operated by Nebulus Pte. Ltd. (UEN 202204244E), 10 Anson Road, #12-14 International Plaza, Singapore 079903 (“Nebulus”, “we”, “us”). By using the site you agree to these terms. If you do not agree, please do not use the site.

The site is intended for businesses. If you use it on behalf of an organization, you confirm that you are authorized to do so and that these terms bind that organization.

02Information on the site

The site gives general information about Nebulus and the products and services we trade. Product categories, brand names, lead times, delivery terms, figures and other statements on the site are indicative and may change without notice. They do not form an offer, a warranty, or part of any contract.

We try to keep the site accurate and current, but we do not guarantee that it is complete, accurate or free of errors, and you should not rely on it without confirming the details with us in writing.

03Requests for quotation

Submitting an RFQ through the site, by email or by phone is an invitation for us to quote. It does not create a contract. A contract is formed only when we accept a purchase order in writing, or when both parties sign a contract.

• Our quotations state their own validity period, pricing, payment terms, Incoterms and lead times. If a quotation does not state a validity period, it is valid for 7 days.
• Every sale is governed by the quotation, the accepted purchase order, and any signed contract between us. If they conflict with these terms, they prevail.
• We may decline any RFQ or order, including for credit, compliance, export-control or sanctions reasons.

You must give accurate information in any RFQ, including your organization’s identity, the end use and the destination of the products.

04Export controls and sanctions

Many of the products we trade are subject to export-control and sanctions laws, including those of Singapore, the United States and the country of manufacture. You agree not to use the site, or request products through it, in breach of those laws, including for a prohibited end use, end user or destination. We may ask for end-user and end-use information before quoting or shipping, and may refuse or cancel a transaction where we are not satisfied it complies.

05Acceptable use

You agree not to:

• use the site for any unlawful, fraudulent or misleading purpose, or submit false information;
• send spam, malware or unsolicited promotional material through the RFQ form or our contact details;
• try to gain unauthorized access to the site, its servers or connected systems, or interfere with the site’s operation or security; or
• scrape, copy or harvest content or contact details from the site by automated means, except by search engines indexing the site.

06Intellectual property

The site and its content, including text, graphics, the Nebulus name and logo, and page design, belong to Nebulus or its licensors and are protected by intellectual property law. You may view and print pages for your own business use in dealing with us. Any other use requires our written permission.

Dell, HP, Lenovo, Microsoft, Adobe, Bitdefender and other product and company names on the site are trademarks of their respective owners. Their use on the site identifies the products we trade and does not imply endorsement by, or affiliation with, those owners unless we expressly say so.

07Third-party links and services

The site may link to, or rely on, third-party websites and services. We do not control them and are not responsible for their content, availability or privacy practices. Your use of them is subject to their own terms.

08Disclaimer and limitation of liability

The site is provided “as is” and “as available”. To the fullest extent permitted by law, we exclude all warranties about the site, whether express or implied, including that it will be uninterrupted, secure or free of viruses.

To the fullest extent permitted by law, Nebulus is not liable for any loss or damage arising from your use of, or inability to use, the site or reliance on its content, including indirect or consequential loss, or loss of profit, revenue, data or business opportunity. Our total liability arising out of your use of the site is limited to SGD 100.

Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, such as liability for death or personal injury caused by negligence, or for fraud. These limits apply to the site only; liability for products and services we supply is governed by the relevant contract.

09Indemnity

You agree to indemnify Nebulus against claims, losses and costs arising from your breach of these terms, or from inaccurate information you submit through the site, including information about end use or destination.

10Privacy

Our privacy policy and cookie policy explain how we handle personal data collected through the site.

11Changes and availability

We may change these terms, or change, suspend or withdraw the site, at any time. The version on this page, with its effective date at the top, applies to your use of the site from that date.

12Governing law and disputes

These terms are governed by the laws of Singapore. The courts of Singapore have non-exclusive jurisdiction over any dispute arising out of or in connection with them. If any provision is found unenforceable, the rest remain in effect. No failure or delay in enforcing these terms is a waiver.
